What SCS is, what SCS is not, and what each party is responsible for. Read this before engaging us or submitting a Capital Assessment.
Agreement to these terms
By using scsslc.com, submitting a Capital Assessment, or engaging SCS as an advisor, you agree to these terms.
These terms are between you — acting for yourself and for the business you represent — and Strategic Corporate Services, Inc., a Utah corporation ("SCS," "we," "us"). If you do not agree, do not use this site or our services. Where a signed engagement agreement exists between you and SCS, that agreement controls if it conflicts with these terms.
What SCS is, and what SCS is not
SCS is a capital advisory and placement firm. We analyze your capital position, recommend a capital structure, identify suitable institutional lending partners, and manage the submission, negotiation, and closing process on your behalf.
The following statements are material to any engagement with us:
- SCS is not a lender. We do not originate, underwrite, fund, or service loans. We do not make credit decisions. All capital is provided by third-party lending institutions, each of which makes its own independent credit decision under its own terms.
- SCS is not a licensed financial advisor. We are not a registered investment adviser, broker-dealer, insurance producer, certified public accountant, or law firm. Nothing we provide is investment advice, securities advice, tax advice, accounting advice, or legal advice. Consult your own licensed professionals before acting on any information from us.
- SCS is not your fiduciary unless we have agreed to be in writing. Our recommendations are advisory in nature. You retain full authority and responsibility for every capital decision your business makes.
- SCS does not guarantee approval or funding. No statement on this site, in a Capital Assessment result, or in any conversation with us constitutes a commitment to lend or an assurance that capital will be approved, offered, or funded on any particular terms or at all.
No guarantee of approval or funding. Capital ranges, close speeds, rates, terms, advance rates, and qualification criteria described anywhere on this site are illustrative of programs available through our lending partners. They are not offers, quotes, or commitments. Actual availability, amount, pricing, and timing depend entirely on the lender's underwriting of your specific business, and any facility is subject to that lender's approval, documentation, and conditions. Some applicants will not be approved.
Eligibility
Our services are offered to businesses, not to consumers seeking personal credit. By engaging us you represent that you are at least 18 years old, that you are authorized to act for the business you represent, and that the capital you are seeking is for legitimate business purposes.
Your responsibilities
The quality of our recommendation depends entirely on the accuracy of what you give us.
- Provide complete, accurate, and current information, including all existing capital obligations and advance positions.
- Promptly correct any information that changes or proves inaccurate during an engagement.
- Do not submit information about a business you are not authorized to represent.
- Do not submit falsified, altered, or fabricated financial statements or bank statements.
Submitting inaccurate or falsified information may cause a declined application, may constitute fraud against the lender, and entitles SCS to terminate the engagement immediately.
Authorization to submit your file
Engaging SCS authorizes us to submit your information to institutional lending partners for the purpose of placing capital. We identify which lenders are being approached and why before submitting. You may withdraw this authorization at any time, though doing so does not undo submissions already made. Some lenders will obtain business or consumer credit reports as part of underwriting; where your separate authorization is required, we will obtain it.
Third-party lenders
Any capital facility you accept is a contract between you and the lender, not with SCS. The lender's agreement governs your rate, fees, payment schedule, collateral, personal guarantees, defaults, and remedies. Read it before signing. SCS is not a party to it and is not responsible for the lender's performance, servicing, collection practices, or any change to your facility after closing.

Content on this site is provided for general information about our services. It is not a solicitation to lend, an offer of credit, or professional advice for your situation. We may change or remove content at any time without notice, and we do not warrant that program details remain current, since lender programs change frequently.
Intellectual property
This site, its content, design, the SCS name and logo, and the analytical frameworks and underwriting intelligence we use are the property of Strategic Corporate Services, Inc. and are protected by intellectual property law. You may not copy, republish, scrape, or use them commercially without our written permission. Capital recommendations we prepare for you are for your business's internal use.
Acceptable use
Do not use this site to submit false information, impersonate another person or business, attempt unauthorized access to our systems or data, introduce malicious code, scrape or harvest data by automated means, or interfere with the site's operation or security.
Disclaimer of warranties
This site and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free, that defects will be corrected, or that any particular capital outcome will be achieved.
Limitation of liability
To the maximum extent permitted by law, SCS and its members, officers, and personnel are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of data, arising from your use of this site, our services, any lender's decision, or any capital facility you enter.
To the maximum extent permitted by law, our total aggregate liability for any claim arising from these terms or our services is limited to the fees you paid SCS directly in the twelve months preceding the claim, or one hundred U.S. dollars if you paid us no fees directly.
Indemnification
You agree to indemnify and hold SCS harmless from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising from information you provided that was inaccurate or falsified, your breach of these terms, your violation of law, or your dispute with a lender.
Dispute resolution and governing law
These terms are governed by the laws of the State of Utah, without regard to its conflict of laws provisions.
Before filing any action, the parties agree to attempt in good faith to resolve the dispute directly for at least 30 days after written notice. Any dispute not resolved that way is subject to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah, and each party consents to that jurisdiction.
Termination
Either party may end an advisory engagement at any time with written notice, subject to any signed engagement agreement. We may suspend or terminate your access to this site at any time. Provisions covering intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
Changes to these terms
We may update these terms as our services or the law change. The effective date above will change with it, and continued use of the site or our services after an update constitutes acceptance. Material changes affecting an active engagement will be communicated directly.
Severability and entire agreement
If any provision of these terms is held unenforceable, the remaining provisions stay in effect. These terms, together with our Privacy Policy and Cookie Policy and any signed engagement agreement, constitute the entire agreement between you and SCS regarding this subject.
Disclosures
These disclosures state how SCS is paid and what our role is, so there is no ambiguity about our interests.
Not a lender
Strategic Corporate Services, Inc. is a capital advisory and placement firm. We do not lend money, underwrite credit, or fund facilities. All capital is provided by third-party institutional lenders that make independent credit decisions.
Not a licensed financial advisor
SCS is not a registered investment adviser, broker-dealer, CPA firm, or law firm, and nothing we provide is investment, tax, accounting, or legal advice. Engage your own licensed professionals for those matters.
No guarantee of approval or funding
We make no guarantee that any application will be approved or funded, or that any particular amount, rate, term, or timeline will be available. All figures published on this site are illustrative of lender programs and are subject to underwriting.
How SCS is compensated
SCS may be compensated by the lending institution that funds your facility, by you directly under a signed engagement agreement, or both. Compensation may vary by lender and by product type, which means we have a financial interest in a completed transaction. We disclose the compensation arrangement applicable to your specific transaction before you accept a facility, and on request at any time.
Lender relationships are not exhaustive
Our recommendations are drawn from our network of institutional lending partners. That network is broad but not exhaustive, and capital may be available elsewhere on terms we do not access. We recommend the strongest structure we can source; we do not represent that it is the only or best structure available in the entire market.
Cost of capital
Short-term capital, including Bridge Liquidity, carries a materially higher cost than long-term structures such as SBA 7(a) facilities. Speed has a price. We tell clients what that price is and actively manage the path toward lower-cost capital where the profile supports it, but you should understand the full cost of any facility before accepting it, as stated in the lender's own agreement and disclosures.

Statements about expected outcomes, timelines, graduation paths, or savings are estimates based on our experience and available data. They are not promises, and actual results vary by business, lender, and market conditions.
